Can you describe the role of the Head of Documentation in preparing a business for sale?
Absolutely! My team’s primary responsibility is to produce key marketing documents such as the Information Memorandum (IM) and Opportunity Summary (OS). These documents are designed to provide potential buyers with a clear, compelling overview of the business. My role is to support the writers in crafting these documents, ensuring they meet the highest standards and addressing any challenges that may arise during the process.
Having been with Knightsbridge for over a decade, I have a deep understanding of both the business and the business sales process. This allows me to ensure our marketing materials comprehensively cover every aspect of a client’s business, helping us to deliver the most compelling documents possible. Since I joined in 2014, our documentation team has expanded significantly. We are not just document writers anymore, we are strategic partners in the sale process.
What are the key responsibilities of the documentation team when a business is preparing for a sale or acquisition?
Our role is to ensure potential buyers are given a full, enticing picture of the business in a concise and factual yet engaging way. The IM is central to this, offering a detailed snapshot of the company that allows buyers to assess its potential within hours rather than days.
We also focus on accessibility, presenting information in a straightforward manner to ensure it’s easy to digest. The documentation team is often the first point of contact for new clients, so we have the responsibility to deliver a high standard of work right from the start. While this can be a pressure-filled responsibility, it’s also one of the things that drives us to continuously improve and deliver results quickly.
Which tools or systems do you use to streamline the documentation process, ensuring all required documents are easily accessible and up-to-date for a business sale?
We use some of the industry’s leading design tools to create visually appealing and professional documents. InDesign is our go-to software, and we generally export the final documents as PDFs for ease of access.
One of the key tools that helps us streamline the process is our Client Information Request (CIR) form. This detailed form helps us gather all the essential information needed to create a bespoke and comprehensive IM. While the CIR is thorough, we understand that completing it may feel daunting for some business owners, so our team is always on hand to assist.
How do you advise business owners to prepare their documentation well in advance of a sale so they are ready when the opportunity arises?
The good news is there’s not much you need to do ahead of time, thanks to our detailed CIR form. That said, there are a few things that can help us present your business most effectively. One of the most important elements is the company history, as this helps buyers understand the legacy and growth potential of the business.
It is also important to have clear details of things such as property information, including size, location and lease terms, as these are often key concerns for buyers.
One example I can share is a company we worked with that had over 100 years of trading history. This was a powerful selling point that added significant value to the IM and helped to differentiate the business in a competitive market.
Are there any common gaps in documentation that businesses often overlook before they decided to sell, and how do you help address these?
Every business is unique, and one of the most challenging yet rewarding parts of my job is getting to understand each business in depth. To create truly bespoke marketing materials, we need to highlight growth opportunities and areas for future development. This can sometimes be tricky, especially for businesses that haven’t fully articulated these opportunities themselves.
To address this, we work closely with business owners, forging strong relationships that allow us to capture the nuances of their company’s growth potential. Our team’s experience enables us to uncover these opportunities and present them in the most compelling way.
How do you ensure all critical business documents are organized and accessible, while also maintaining confidentiality and security?
We use a simple yet highly effective system to ensure both organisation and security. Each business we work with is assigned a unique company reference number, which is attached to all related documents. This ensures all materials can be easily located without the need to include sensitive information in the file labels, maintaining confidentiality while also keeping everything organised.
